1. Introduction

Welcome to Neighbor Bento. These Terms of Service ("Terms") govern your use of our website, platform, and services (collectively, the "Services") operated by Neighbor Bento, Inc. ("we," "us," or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Services.

2. Definitions

"Store" refers to convenience stores, small markets, and other retail locations that use our platform to discover and purchase products from Suppliers.

"Supplier" refers to food businesses, including bakeries, meal providers, and other food producers that use our platform to sell products to Stores.

"User" refers to any individual or entity that accesses or uses our Services, including Stores and Suppliers.

3. Account Registration

To use certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding the password that you use to access the Services. You agree not to disclose your password to any third party and to take sole responsibility for any activities or actions under your account, whether or not you have authorized such activities or actions.

4. Platform Rules

For Stores:

• You must maintain accurate business information on your profile.
• You are responsible for inspecting products upon receipt and reporting any issues promptly.
• You agree to pay for products ordered through the platform according to the payment terms.
• You will follow all applicable food safety regulations when handling products.

For Suppliers:

• You must provide accurate product descriptions, pricing, and availability information.
• You are responsible for ensuring products meet all applicable food safety standards and regulations.
• You agree to fulfill orders as specified in your product listings.
• You will maintain proper licensing and permits required for food production and distribution.

5. Fees and Payment

Stores: Subscription fees are charged monthly or annually, depending on your plan selection. Fees are non-refundable except as required by law.

Suppliers: We charge a commission on completed transactions. Commission rates are specified in your account dashboard. Payments for completed orders will be processed according to the payment schedule outlined in your Supplier agreement.

All payment obligations are non-cancelable, and fees paid are non-refundable, except as specifically provided in these Terms.

6. Content and Intellectual Property

Our Services and their contents, features, and functionality are owned by Neighbor Bento, Inc. and are protected by copyright, trademark, and other intellectual property laws.

Users retain ownership of any content they submit, post, or display on or through the Services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such content in connection with providing and promoting the Services.

7. Prohibited Activities

Users may not:

• Use the Services in any way that violates applicable laws or regulations.
• Impersonate another person or entity or misrepresent your affiliation.
• Attempt to gain unauthorized access to the Services or other users' accounts.
• Use the Services to transmit malware, viruses, or other harmful code.
• Interfere with or disrupt the Services or servers connected to the Services.
• Scrape, crawl, or spider any page, data, or portion of the Services.
• Use the Services for any purpose other than as intended.

8. Limitation of Liability

To the maximum extent permitted by law, Neighbor Bento, Inc. and its affiliates, officers, employees, agents, partners, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data, or goodwill, resulting from your access to or use of or inability to access or use the Services.

Our liability is limited to the greater of $100 or the amount you have paid us in the past 12 months.

9. Indemnification

You agree to indemnify, defend, and hold harmless Neighbor Bento, Inc. and its affiliates, officers, agents, and employees from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

10. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach the Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of the Terms that by their nature should survive termination shall survive termination.

11. Changes to Terms

We may revise these Terms from time to time. The most current version will always be posted on our website. By continuing to access or use the Services after revisions become effective, you agree to be bound by the revised Terms.

12. Governing Law

These Terms shall be governed by the laws of the State of California, without respect to its conflict of laws principles. Any dispute arising from or relating to the subject matter of these Terms shall be subject to the exclusive jurisdiction of the state and federal courts in San Francisco County, California.
